Terms of Service
Version of 20 October 2026
1. The agreement and the parties
1.1. These terms ("Terms") govern the use of the MonitorBase services at monitorbase.eu, monitordmarc.eu, monitorssl.eu and monitoruptime.eu (the "Service") and form an agreement between you ("Customer") and Sjøbeck Digital, a Danish sole proprietorship (CVR no. 34358702, VAT DK34358702, Høsten Teglværksvej 23, 4690 Haslev, Denmark, tel. +45 53 50 08 98), trading as MonitorBase ("MonitorBase").
1.2. The agreement is concluded when the Customer creates an account. The agreement on a paid plan is concluded when payment has been completed or, for a trial, when the payment card has been registered. Use of the free tools without an account is also subject to these Terms.
1.3. "Business customer" means a Customer acting for purposes relating to its trade, business or profession. "Consumer" means a natural person acting mainly outside such purposes. Provisions stated to apply to one of these groups apply only to that group. The Customer is treated as a Business customer if a VAT number is given when ordering a paid plan.
1.4. A person accepting these Terms on behalf of a business warrants that they are authorised to bind it. The Customer must be at least 18 years old.
1.5. An order is placed by selecting a plan, entering billing details and completing payment or, for a trial, registering a payment card. Input errors can be corrected before payment. The agreement is concluded in English or Danish. These Terms are not stored individually for each Customer; the version accepted is stated in the order confirmation, which includes the Terms.
2. The Service
2.1. The Service monitors email authentication (DMARC, SPF, DKIM, BIMI and TLS-RPT) and SSL/TLS certificates for domains registered by the Customer, and the availability of websites, services and scheduled jobs registered by the Customer (uptime monitoring with public status pages). The scope of each plan is stated on the pricing page at the time of ordering.
2.2. The Pro plan can be tried free of charge for 30 days. The trial requires a payment card. Unless the Customer cancels the trial before it ends, it continues as a paid subscription, and the first payment is charged when the trial ends. MonitorBase sends a reminder by email no later than 7 days before the first payment. If the Customer changes during the trial to a plan with a higher price than the Pro plan, the trial ends, and the first month of the new plan is charged immediately. The free plan requires no payment card.
2.3. MonitorBase may change, limit or discontinue the free plan and the free tools at any time. In relation to Consumers, clause 11.2 applies correspondingly.
3. Account and use
3.1. The Customer is responsible for the accuracy of the information provided, for keeping login details confidential and for all use of the account.
3.2. The Customer may only register domains that it owns or is authorised to monitor. A Customer monitoring domains on behalf of its own clients warrants that it has those clients' authorisation to do so and to direct their report data to MonitorBase.
3.3. The Customer must not (a) use the Service to scan or attack systems it does not control, (b) circumvent rate limits, authentication or the separation between accounts, (c) exceed the published usage limits of the free tools, or (d) resell access to the Service without MonitorBase's written consent.
3.4. MonitorBase may suspend access in the event of a breach of clause 3.3. Unless there is an immediate risk to the Service or to third parties, the Customer will first be notified and given a reasonable opportunity to remedy the breach.
4. Prices and payment
4.1. Paid plans are subscriptions billed monthly in advance and renewed automatically until cancelled. One subscription can combine a plan for each product (DMARC Monitor, SSL Monitor and Uptime Monitor), or a bundle together with plans for products the bundle does not include. Its price is the sum of the prices of the plans it combines. Each product's limits follow that product's own plan, and a product without a paid plan has the free plan's allowance where one exists. The number of users, client management, reports with the Customer's own name and logo, and API access follow the highest of the subscription's plans. Payment is processed by Mollie B.V.
4.2. Prices are stated excluding VAT for Business customers and including VAT for Consumers. VAT is charged in accordance with applicable law, and the total price including VAT is shown before the order is placed. Business customers in another EU member state with a valid VAT number are invoiced without VAT under the reverse-charge mechanism. An invoice is issued for each payment.
4.3. On a change to a more expensive plan during a billing period, the price difference for the remainder of the period is calculated per day and charged immediately, and the new plan applies once that payment has been completed. On a change to a less expensive plan, the new plan applies immediately and the price difference for the remainder of the period is credited to the Customer's account and deducted from the following payments. Any remaining credit is refunded when the subscription ends. Adding or removing a plan for a product is a change of plan under this clause.
4.4. MonitorBase may change prices with at least 30 days' notice by email. The new price applies from the first billing period beginning after the notice period.
4.5. If a payment fails, the Customer is notified by email immediately and again after 3 days if it is still unpaid. The Customer keeps the plan for 7 days from the failed payment. If payment has not been made by then, the Service is paused: the paid features stop, and monitoring beyond the free plan's limits stops until the Customer pays. If the Customer instead adjusts the account to stay within the free plan's limits, the account works as the free plan. The Customer's data is not deleted while the Service is paused. MonitorBase does not attempt to charge the payment card again on its own. When the Customer pays, a new monthly billing period begins on the date of payment and one full month is charged; the days between the failed payment and the payment are not charged. If the Customer cancels instead, nothing is owed and access ends immediately.
5. Cancellation and termination
5.1. The Customer may cancel a subscription at any time in the account settings, with effect from the end of the current billing period. A trial may be cancelled at any time before it ends, free of charge. Payment for a started billing period is not refunded except as provided in clause 6, the Data Processing Agreement or mandatory law.
5.2. The Customer may terminate the agreement at any time by deleting the account. Deleting the account also cancels any subscription.
5.3. MonitorBase may terminate the agreement with 30 days' notice by email, in which case prepaid fees for the period after termination are refunded. MonitorBase may terminate with immediate effect in the event of a material breach of clause 3 or non-payment that has not been remedied within 8 days of a written demand.
5.4. The Customer can export its data from the account settings before deletion. On termination, data is deleted as set out in the Privacy Policy.
6. Right of withdrawal (consumers)
6.1. A Consumer may withdraw from the agreement on a paid plan within 14 days of the day on which the paid plan or the trial was ordered, without giving any reason. On withdrawal during a trial, the subscription ends and no payment is charged.
6.2. A paid plan starts when payment has been completed. Before payment, the Consumer must expressly request that the Service begin during the withdrawal period and acknowledge that, on withdrawal, the Consumer must pay for the Service provided up to the time of withdrawal.
6.3. Withdrawal may be exercised using the function "Withdraw from contract here" on the account's Billing page, or by sending a clear statement to christian@monitorbase.eu, before the withdrawal period expires. The model withdrawal form below may be used but is not required.
6.4. On withdrawal, the Consumer pays an amount proportionate to the Service provided up to the time of withdrawal, calculated in relation to the full billing period. The remainder is refunded without undue delay and no later than 14 days after receipt of the withdrawal, using the same means of payment, free of charge.

7. Personal data
7.1. MonitorBase processes personal data in accordance with the Privacy Policy.
7.2. For Business customers, the Data Processing Agreement forms part of these Terms and governs MonitorBase's processing of personal data on the Customer's behalf. In the event of conflict on the processing of personal data, the Data Processing Agreement prevails.
8. Intellectual property
8.1. All rights in the Service, including software and content, belong to MonitorBase. The Customer retains all rights in its own data and grants MonitorBase the rights necessary to provide the Service.
9. Operation and availability
9.1. The Service is provided without a guaranteed level of availability. MonitorBase may carry out maintenance that temporarily affects availability.
10. Liability
10.1. Results from the Service are information about the Customer's configuration. MonitorBase does not guarantee email delivery, certificate validity or security, and the Customer remains responsible for the configuration of its own domains.
10.2. In relation to Business customers, the Service is provided "as is". MonitorBase's total liability, including under the Data Processing Agreement, is limited to the fees paid by the Customer in the 12 months preceding the event giving rise to the claim. MonitorBase is not liable for indirect loss, including loss of profit, revenue, data or goodwill. These limitations do not apply in the event of intent or gross negligence, or where liability cannot be limited under Danish law.
10.3. In relation to Consumers, MonitorBase is liable in accordance with the general rules of Danish law, and Consumers have the remedies for lack of conformity provided by mandatory law. Clause 10.2 does not apply to Consumers.
11. Changes to the Terms
11.1. MonitorBase may change these Terms. Material changes are notified by email at least 30 days before they take effect. A Customer who does not accept a change may cancel before it takes effect and is refunded prepaid fees for the period after the change takes effect.
11.2. In relation to Consumers, changes are made only for a valid reason, such as changes in legislation, in the Service or in costs, and never to the detriment of the Consumer's mandatory rights.
12. Governing law and disputes
12.1. These Terms are governed by Danish law, excluding its choice-of-law rules. Disputes are settled by the Danish courts.
12.2. Consumers retain the protection of the mandatory rules of their country of residence and may bring proceedings there. Consumers may complain to the Danish Consumer Complaints Board (Forbrugerklagenævnet), Nævnenes Hus, Toldboden 2, 8800 Viborg, Denmark, via forbrug.dk. Consumers resident in another EU member state may contact the European Consumer Centre Denmark (Forbruger Europa).
12.3. In the event of inconsistency between the English and the Danish version of these Terms, the Danish version prevails.
